These Terms of Use ("Terms") govern your access to and use of the website located at licus.com and any related pages, tools, and content operated by Lotus International Company ("Lotus," "we," "us," or "our") (collectively, the "Site"). By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Site.

These Terms govern use of the Site only. They do not govern the purchase, sale, or manufacture of any products or services, which are governed exclusively by separate written agreements as described in "Quotes, Orders, and Governing Contract Terms" below.

Eligibility and Business Use

The Site is intended for businesses and professionals evaluating contract-manufacturing, assembly, warehousing, and related services. By using the Site, you represent that you are at least 18 years of age and have the authority to enter into these Terms on your own behalf or on behalf of the entity you represent.

License to Use the Site

Subject to your compliance with these Terms, Lotus grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its content for your internal business and informational purposes. This license does not permit you to, and you agree not to:

  • Reproduce, distribute, publicly display, republish, sell, license, or create derivative works from any content on the Site, except as expressly permitted in writing by Lotus;
  • "Mirror," frame, scrape, harvest, or systematically extract any content or data from the Site without our prior written permission;
  • Use any automated means (bots, crawlers, or similar) to access the Site in a manner that sends more requests than a human could reasonably produce, or that burdens our infrastructure;
  • Attempt to gain unauthorized access to the Site, its servers, or any connected systems, or interfere with the security or proper functioning of the Site;
  • Use the Site in violation of any applicable law, regulation, or third-party right, or for any fraudulent or unlawful purpose.

Lotus may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to Lotus, other users, or third parties.

Intellectual Property

The Site and all content on it — including text, graphics, logos, icons, images, photographs, videos, page layouts, and the selection and arrangement thereof ("Content") — are owned by or licensed to Lotus and are protected by United States and international copyright, trademark, and other intellectual property laws. LOTUS® is a registered trademark of Lotus International Company. Other product, company, and brand names referenced on the Site are the trademarks of their respective owners, and any such reference is for identification only and does not imply endorsement or affiliation. Except for the limited license granted above, nothing on the Site grants you any right or license to any intellectual property of Lotus or any third party, whether by implication, estoppel, or otherwise.

Accuracy of Information; No Reliance

The Content is provided for general informational and marketing purposes only. While Lotus makes reasonable efforts to keep the Content current and accurate, the Site may contain errors, omissions, inaccuracies, or out-of-date information, and Content may be changed or updated at any time without notice. Descriptions of our facility, certifications, equipment, capabilities, capacity, processes, lead times, and services are general in nature, may change over time, and may not reflect every program or circumstance.

You should not rely on the Content as a representation, warranty, specification, or commitment. Any specific capability, certification status, specification, price, lead time, quantity, or other term that is material to your decision should be independently confirmed by Lotus in a written quotation or signed agreement before you rely on it. To the fullest extent permitted by law, you agree that no statement on the Site forms part of, varies, or supplements any contract between you and Lotus, and that you have not relied on any Content in entering into any such contract.

Submissions and Inquiries

When you contact us, request a quote, or otherwise submit information through the Site, you are responsible for the accuracy and legality of what you submit and for ensuring you have the right to share it. Do not submit information that infringes the rights of others or that you are not authorized to disclose.

Lotus respects the confidentiality and intellectual property of its customers and prospective customers. Lotus does not claim ownership of, and will not acquire any rights in, the designs, drawings, specifications, bills of materials, samples, or other proprietary materials you submit. Such materials remain your property. Where you wish to share confidential or proprietary technical information, we encourage you to do so under a mutual non-disclosure agreement; please contact us to put one in place before transmitting sensitive material. Absent a signed confidentiality agreement, you should treat information transmitted through general Site forms as not subject to an obligation of confidentiality, and you should avoid sending trade secrets or sensitive details until appropriate protections are in place.

This section does not limit any greater protections set out in a non-disclosure agreement, master agreement, or other signed contract between you and Lotus, which control in the event of any conflict.

Quotes, Orders, and Governing Contract Terms

The Site is informational and does not constitute an offer to sell or a binding commitment to provide any product or service. No contract is formed by your use of the Site or by your submission of an inquiry or quote request. Any manufacturing, assembly, warehousing, or related engagement is governed solely by the separate written terms agreed between you and Lotus — such as a quotation, order acknowledgment, purchase order, statement of work, or master supply or services agreement (collectively, the "Order Terms"). In the event of any conflict between the Content on the Site and the Order Terms, the Order Terms control. The Order Terms, together with any documents they incorporate, constitute the entire agreement between you and Lotus with respect to the relevant products and services and supersede any prior or contemporaneous statements, including statements on the Site.

Third-Party Links and Content

The Site may contain links to third-party websites, resources, or content provided for convenience only. Lotus does not control, endorse, or assume responsibility for any third-party site or content, and your use of any third-party site is at your own risk and subject to that third party's terms. Reference to any third-party product, service, or organization does not constitute or imply endorsement.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LOTUS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LOTUS MAKES NO REPRESENTATION OR WARRANTY AS TO THE QUALITY, SUITABILITY, TRUTH, ACCURACY, OR COMPLETENESS OF ANY CONTENT. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LOTUS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF LOTUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, LOTUS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Liability for products and services actually supplied is governed by the Order Terms, not this section.

Indemnification

You agree to indemnify, defend, and hold harmless Lotus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

Export Control and Local Laws

Lotus controls and operates the Site from the United States. We make no representation that the Content is appropriate or available for use in other locations. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws. You agree to comply with all applicable U.S. export control and sanctions laws and regulations, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR), and you will not use the Site or any information obtained from it in violation of such laws.

Changes to These Terms

Lotus may revise these Terms at any time by posting an updated version on this page with a revised "Last Updated" date. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Michigan, and you consent to the personal jurisdiction and venue of those courts.

General

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Lotus's failure to enforce any provision is not a waiver of its right to do so later. You may not assign these Terms without Lotus's prior written consent; Lotus may assign them freely. The section headings are for convenience only. Except as expressly provided in the Order Terms, these Terms (together with the Privacy Policy) constitute the entire agreement between you and Lotus regarding your use of the Site. Any rights not expressly granted are reserved by Lotus.
